1. Who We Are — and Are Not

DirectRxCare operates a technology platform that connects patients with independent, U.S.-licensed clinicians and licensed compounding pharmacies. DirectRxCare does not practice medicine or pharmacy, does not employ the prescribing clinicians, and does not dispense medication. Clinical decisions, including whether to prescribe, are made solely by the treating clinician in their independent professional judgment.

2. Not for Emergencies

The Services are not for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room. For mental health crises, call or text 988.

3. Eligibility

• You must be at least 18 years old.
• You must be physically located in a U.S. state where our clinicians are licensed at the time of your visit.
• You must provide accurate, complete, and current medical and identity information.
• You must be requesting treatment for yourself, not for another person.

Submitting a medical intake does not guarantee a prescription. Not all patients qualify, and a clinician may decline to treat you or may recommend in-person care.

4. Compounded Medications

Some medications offered are compounded by state-licensed, PCAB-accredited compounding pharmacies. Compounded drugs are not reviewed or approved by the FDA for safety, effectiveness, or manufacturing quality. Compounded medications are prepared only pursuant to a valid prescription for an individual patient.

5. Your Responsibilities

• Disclose all medications, supplements, allergies, and medical conditions.
• Follow your clinician's instructions and dosing schedule.
• Report side effects or adverse reactions promptly.
• Never share, resell, or transfer prescription medication.
• Keep your account credentials confidential.

6. Pricing, Payment, and Subscriptions

• Prices are shown in U.S. dollars and may change with notice.
• Subscription plans renew automatically at the interval and price disclosed at checkout until you cancel.
• You may cancel a subscription at any time before the next renewal date by contacting care@directrxcare.com. Cancellation stops future charges; it does not refund shipments already dispensed.
• Prescription medications cannot be returned or resold once dispensed. Refunds for undispensed orders or for orders declined by a clinician are issued to the original payment method.
• We do not bill insurance. You are responsible for the full amount charged.
• Failed or disputed payments may result in suspension of service.

7. Shipping

Medications ship from the dispensing pharmacy to the address you provide. Title and risk of loss pass on delivery to the carrier. Temperature-sensitive products ship with appropriate packaging; contact us immediately if a shipment arrives damaged or delayed.

8. Intellectual Property

All content on the Site — text, graphics, logos, and software — is owned by DirectRxCare or its licensors and may not be copied, scraped, or used commercially without written permission.

9. Prohibited Conduct

• Providing false identity or medical information.
• Attempting to obtain medication for resale, diversion, or another person.
• Interfering with, probing, or attempting to breach the security of the Services.
• Using automated tools to access or scrape the Site.

10. Disclaimers

Except as expressly stated, the Services and Site content are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Site content is for informational purposes and is not medical advice. This section does not limit the professional obligations of your treating clinician.

11. Limitation of Liability

To the maximum extent permitted by law, DirectRxCare and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of your use of the Services. Our total aggregate liability for any claim is limited to the greater of the amounts you paid us in the twelve months preceding the claim or $100. Nothing in these terms limits liability that cannot be limited under applicable law, including for gross negligence, willful misconduct, or personal injury caused by our negligence where such limitation is prohibited.

12. Indemnification

You agree to indemnify and hold harmless DirectRxCare and its affiliates from claims arising out of your breach of these terms, your misuse of medication, or information you provided that was false or incomplete.

13. Dispute Resolution and Arbitration

Any dispute not resolved informally within 30 days will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in the United States. You and DirectRxCare waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement by emailing legal@directrxcare.com within 30 days of first accepting these terms. Claims that may be brought in small claims court, and claims for injunctive relief regarding intellectual property, are excluded. This section does not waive any right you have to file a complaint with a state medical or pharmacy board or a government regulator.

14. Governing Law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except where the mandatory consumer-protection law of your state of residence applies.

15. Termination

We may suspend or terminate your access for violation of these terms, suspected fraud, or where continued service would be unsafe or unlawful. You may close your account at any time; we will retain medical records as required by law.

16. Changes to These Terms

We may update these terms. Material changes will be posted here with a revised date and, where required, communicated to you. Continued use after the effective date constitutes acceptance.
